Terms of Use
Last updated: 29 September 2026
These Terms of Use govern access to and use of NexWallet ("the Service"), provided by NEX SOCIETÀ COOPERATIVA – IMPRESA SOCIALE ("Nex", "we"). By registering for or using the Service, you fully accept these Terms and our Privacy Policy.
1. Description of the Service
NexWallet is a platform that associations, clubs and businesses use to issue digital cards for Apple Wallet and Google Wallet: membership cards, points, stamp or countdown loyalty cards, coupons and event tickets. The Service includes a scanner that works on any phone, import of member and customer lists, automatic updates to cards already in wallets, and online collection of membership fees through the organisation's own Stripe account.
2. Accounts and organisations
Access to the Service requires an account associated with an organisation. The organisation's owner can invite other users, assign their roles and revoke their access. You are responsible for keeping your credentials confidential and for all activity under your account. The same applies to scanner links, recharge PINs and API keys: whoever holds them can act on the organisation's cards, so share them only with people you trust and revoke them when no longer needed.
3. Your organisation's role as controller of the data it enters
Your organisation is the data controller for the information about its members, customers and attendees entered or collected through the Service, including card data, cardholder photos and fee payments. It is responsible for ensuring that this processing complies with the GDPR and any applicable law: informing the people concerned, having a valid legal basis, and obtaining consent where needed, for example for photos or for members who are minors. Nex processes this data as a processor, acting on the organisation's instructions, as described in the Privacy Policy.
4. Permitted use
You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you agree not to:
- issue cards with unlawful or misleading content, or that use third parties' trademarks, names or logos without permission;
- attempt to access other organisations' data or bypass permission controls;
- compromise the security, availability, or integrity of the Service;
- use the Service to process special categories of data (Art. 9 GDPR, e.g. health or biometric data) unless strictly necessary and supported by adequate security measures.
5. Plans, subscription and billing
- Trial plan: free, allows up to 20 active cards and does not include online membership payments.
- Paid plans: a yearly fee set by the maximum number of active cards, at the prices published on the website, VAT included. Subscriptions are sold to organisations based in Italy.
- Payment: by card, or by bank transfer against an invoice payable within 30 days. The plan starts when the payment is received.
- Renewal and cancellation: the subscription renews automatically every year until cancelled. Cancellation is made from the dashboard, takes effect at the end of the period already paid for, and does not entitle you to a refund of the remaining period.
- Changing plan: moving to a larger plan takes effect immediately, with the difference charged for the rest of the period; moving to a smaller plan takes effect at the next renewal.
- Discount codes: apply for the period the code states, the first year or renewals too, on the conditions stated with the code. The discount carries over a change of plan.
- Invoice: every payment is followed by an Italian electronic invoice transmitted through the Exchange System (SdI), based on the billing details the organisation provides and is responsible for keeping accurate.
- End of subscription: the organisation returns to the Trial plan. Cards already issued remain valid, but no new cards can be issued beyond the plan's limit and online membership payments are switched off.
6. Online membership payments
Members' fees are collected into the organisation's own Stripe account; the organisation accepts Stripe's terms directly and receives the money in its own bank account. Nex is not a party to transactions between the organisation and its members, does not hold funds and does not provide payment services. Prices, receipts, refunds and tax obligations towards members are the organisation's responsibility, as are the fees Stripe charges. Nex takes no commission on membership fees unless otherwise agreed and announced in advance.
7. Third-party wallets
Apple Wallet, Google Wallet and Samsung Wallet are third-party services subject to their own terms. Nex does not guarantee that they are available on every device, nor how quickly they display updates to cards, which depends on those services.
8. Data ownership and intellectual property
Data uploaded or entered into the Service by your organisation remains the property of your organisation. The software, the NexWallet trademark, and all other elements of the Service remain the property of Nex or its licensors.
9. Service availability
We aim to keep the Service available and functioning correctly, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance or updates.
10. Limitation of liability
To the extent permitted by law, Nex shall not be liable for indirect damages, loss of data, or loss of profits arising from use of the Service, except in cases of wilful misconduct or gross negligence.
11. Suspension and termination
We reserve the right to suspend or deactivate accounts that violate these Terms or pose a security risk to the Service or other users.
12. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the place where Nex is registered, without prejudice to any mandatory consumer-protection rights where applicable.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to registered users; continued use of the Service after such notice constitutes acceptance of the updated Terms.
